"Folz complains the debate over how to report stock options focused excessively on sensational abuses of options by publicly traded companies like Enron Corp. and WorldCom Inc., which defrauded their shareholders by lavishing executives with unearned options.

"Folz argues that the justifications advanced by the new accounting rule's advocates aren't valid for the large number of venture-backed companies that drive high-tech innovation. Privately held companies make up 88 percent of computer software companies doing business in the Bay State, according to the Massachusetts Software Council.
"In the case of private companies, Folz notes, issuing employee stock options doesn't dilute the stock value of unsuspecting mom-and-pop shareholders. The owners of private companies most often tend to be their founders and a team of financial backers, all of whom agree to set aside a pool of options as employee incentives."
